Jerome M. Behar, CEO jerry@financial-intelligence.comJerry Behar is Financial Intelligence's founder and CEO. He has over 25 years of senior financial management experience in both public and early stage companies. As the CFO for Engineering Animation Inc. (NASDAQ:EAII), he valued and negotiated eight M&A transactions over a two-year period during which the company's annual revenue grew from $20 million to over $100 million. He was also the CFO of MS2, Inc., a software company focused on product lifecycle automation, and the co-founder and CFO of International Risk Control Inc., which developed and marketed risk management decision support software systems. Jerry has completed over $100 million in public and venture capital financings. A certified public accountant, he earned a BA from Michigan State University and an MBA from Stanford University. Jerry served on the board of directors and audit committee of Portal Software, Inc. experience in both public and private companies. More than half of that time
was spent as a management consultant focused on operational and functional
process reengineering to reduce costs and improve profitability. Arnie also
served as Intel's M&A Equity Compensation Program Manager, where he implemented
and reengineered processes and systems for all of Intel's equity benefit programs,
and as an HR Global Reengineering Project Manager. In 2006 and 2007, he led
the data analysis and migration process in eight major financial restatement
projects. Arnie earned a BS from Nyack College in New York. He is certified
in Equity Compensation, Project Management and Six-Sigma reengineering and
has been enrolled to practice before the IRS. Joseph Howell jhowell@financial-intelligence.comJoseph Howell has over 25 years of experience in senior financial management and SEC reporting. He served as Chief Accounting Officer and CFO for Borland Software (NASDAQ: BORL) and as CFO of Merix Corporation (NASDAQ: MERX). He also served as CFO of EMusic.com (NASDAQ: EMUS), which was acquired by Universal Music Group. Joe developed substantial experience in financing and managing early-stage technology companies, serving as CFO for Eid Passport and for Webridge, Inc., which was acquired by Click Commerce. He led the $92 million IPO and $33 million secondary offering at EMusic.com, as well as a number of private placements and over two dozen significant M&A transactions. A CPA, he earned a BA from the University of Michigan and an MS in Accounting from Eastern Michigan University.Return to top Joseph Kelly joekelly@financial-intelligence.comJoe Kelly has over 30 years of broad business and professional services experience in advising organizations—from private start-ups to large, public, multinational companies in the technology, industrial, consumer products and retail markets. Joe retired as an audit partner with KPMG LLP, where he held a variety of senior client service and management positions. In addition to his accounting and audit expertise, he was designated an SEC partner specializing in SEC reporting and accounting. In this role, he was authorized to deal directly with the SEC staff on behalf of the firm’s public clients on complex, technical issues. Joe has also successfully managed numerous initial public offerings and debt and private placements and developed expertise in mergers and acquisitions, international operations and litigation support. During the last year, Joe utilized his unique experiences with key roles in five major financial restatement projects. A CPA in California and New Jersey, he currently serves on the Board of Directors for two Southern California real estate ventures managed by Kennedy Wilson. Neil is a CPA who practiced in California, New York and Connecticut during his career with KPMG. He currently serves on the Board of Directors of a medium-size public technology company. As a result, he has obtained significant experience in the valuation of companies, financial instruments and intangible assets, as well as in developing financial plans, business projections and valuations for venture-funded companies. As head of Shoreline Pacific's research department, Michael directed all research and structuring for over $200 million in placements for public and private companies, including valuation of companies and securities. Previously, he worked in KPMG Peat Marwick's corporate transactions group, specializing in the valuation of companies, technologies and distressed instruments. and early-stage companies. As a former consultant with Horn Murdock Cole Silicon
Valley, Pauline provided Controller, financial planning and analysis, and merger
and acquisition services to clients in the software, semi-conductor, medical
device, and network service provider industries. She also led project management,
documentation and testing of internal controls for financial reporting and
disclosure at several companies seeking to comply with the Sarbanes-Oxley Act.
A certified public accountant, Pauline earned her BA from Claremont McKenna
College in California and an MBA from Monash University in Melbourne, Australia. Elizabeth Harder, J.D. elizabeth@financial-intelligence.comElizabeth Harder has 9 years of experience with stock option valuation, financial reporting and compliance for equity compensation plans, as well as with the development of compliance software. As a former executive with Equity Methods, an industry-leading equity consulting and research firm, she led the equity consulting team and oversaw the firm’s software research and development endeavors for both internal initiatives and strategic partner products. Elizabeth has significant experience working directly with financial professionals to resolve the complex accounting and reporting issues that pertain to SFAS 123 and 123R and related regulations.
